Ocean Rig UDW Inc. Announces Date of Extraordinary General Meeting to Approve Merger With Transocean Ltd.
GRAND CAYMAN, Cayman Islands, Oct. 09, 2018 (GLOBE NEWSWIRE) -- Ocean Rig UDW Inc. (NASDAQ:ORIG), (“Ocean Rig” or the “Company”), an international contractor of offshore deepwater drilling services, today announced that it has scheduled an extraordinary general meeting of shareholders (the “Special Meeting”) to, among other things, consider and vote on a proposal to approve and adopt the previously announced Agreement and Plan of Merger, dated as of September 3, 2018, by and among Ocean Rig, Transocean Ltd. (“Transocean”), Transocean Oceanus Holdings Limited, and Transocean Oceanus Limited.
Ocean Rig shareholders of record at the close of business on October 16, 2018 will be entitled to notice of, and to vote at, the Special Meeting, which is scheduled to be held on Thursday, November 29, 2018, at 9:00 a.m. local time, at the Company’s offices located at 3rd Floor Flagship Building, Harbour Drive, Grand Cayman, Cayman Islands.
Formal notice of the Special Meeting and the Company’s and Transocean’s joint proxy statement/prospectus are expected to be sent to shareholders on or as soon as practicable after October 16, 2018.
